TERMS AND CONDITIONS

 

1.0 QUOTATIONS AND PROPOSALS

1.1 All quotations or proposals are provisional and are not binding on the company until such time as an order has been accepted in writing by Masterframe Windows Limited.

1.2 We reserve the right to review quoted prices in the event of any change in costs brought about by changes to material costs, or International Exchange rates.

2.0 CUSTOMER ORDER:

2.1 Orders from new Customers will only be accepted when accompanied with a letter headed paper or official purchase order with the appropriate company information, a Masterframe Windows Limited “collection” order sheet or via the .PDF forms from the website.

2.2 Masterframe makes no allowance regarding structural opening and installation requirements.  All sizes are manufacturing sizes.

2.3 It is your responsibility to check our order confirmation sheet and sign each window, against your customers’ requirement prior to the order being released for production.  Any anomalies must be notified and corrected so that you can sign off a fresh confirmation sheet.  Masterframe Windows Limited shall not be held liable for any cost arisen from incorrect size or inaccurate specification.

2.4 If goods are incorrect to the Customers signed confirmation sheet, then we reserve the right to correct matters swiftly with new components once the error has been brought to our attention, however we will not be liable for costs of any kind including fitting or refitting charges.

3.0 PAYMENT TERMS:

3.1 Payment terms will be agreed with you at the time of order, which we require to be honoured.

3.2 Completed manufactured products, either awaiting delivery instructions or deferred deliveries, will be considered as delivered for the purpose of accounting and payments will be required unless specific alternative arrangements are agreed in writing between parties.

3.3 We reserve the right to charge 3% above base rate, for late payment, returned or stopped cheques.

4.0 DELIVERY:

4.1 Unless agreed in writing all windows will be delivered on the earliest pre-determined date (determined by location) following completion of the contract.

4.2 Where a deferred delivery has not been agreed prior, but delivery is refused on the original agreed date, delivery must be accepted within 7 days from the original delivery date.

4.3 We reserve the right to charge for storage and handling for any period after (3.2), at a cost of £250 per week, or part thereof for each and any contract stored.

4.4 Any contract being stored will be held at your risk.

4.5 Failure to pay on the agreed dates or scheduled multiply delivery contracts, may result in the suspension of other goods being manufactured or delay later deliveries.

4.6 In the event of your account being placed on stop, delivery dates become void, and the further manufacture of contracts may cease.

4.7 Delivery dates advised at the time of receipt of a signed order confirmation sheet is our best estimate.  Every effort will be made to deliver on that date or as close as possible to such date.

4.8 We will confirm delivery dates within 5 working days of receiving the order, on standard orders.

4.9 Unless agreed and until confirmed in writing by a director of Masterframe Windows Limited, time is not the essence of any contract.

5.0 CLAIMS:

5.1 You must advise us within 3 working days of delivery and in writing within 7 days of receipt of goods for all claims concerning perceived shortages, damage in transit, product imperfections, or incorrect specification.

5.2 We reserve the right to limit to the options of replacing, repairing, or crediting you the purchase price, or part thereof, of the goods sold.

5.3 The return of goods after delivery will not be accepted unless Masterframe Windows Limited or company representative has first had an opportunity to examine the goods and accept claims being made, within a period of 5 working days.

6.0 OWNERSHIP OF GOODS:

6.1 Products supplied remain our property until full payment has been received.

7.0 HANDLING:

7.1 All supplied goods must be stored in accordance to best practice. Any damage caused to the goods from improper storage or handling will be your responsibility.

8.0 INSTALLATION:

8.1 Installation of the goods must be in accordance with our recommendations.  Failure to install and or adjust products in accordance with these instructions may absolve us of any responsibilities or liabilities with the performance or safe function of the product.

9.0 PRODUCT MAINTENANCE:

9.1 The continued performance and appearance of the goods will be affected by failure to maintain the windows.  Failure by the user of the goods to maintain them in accordance with our recommendations may result in changes to the performance or appearance of the goods, and may affect guarantees.

10.0 PRODUCT PERFORMANCE:

10.1 Unless you advise us in writing, it will be assumed that the installation is within 10 metres of ground level and not in an exposed location.  You must advise us in writing at the time of order if the site is above this level or is of exceptional exposure.

11.0 PRODUCT MISUSE:

11.1 Masterframe Windows Limited holds no responsibility for products which have been damage through misuse by either yourself, your customer or user of the window(s).

12.0 IMPERFECTIONS:

12.1 All materials used in the manufacture of our products shall conform to the specifications of our material suppliers.  Material free of every imperfections are unobtainable, therefore imperfections recognised by industry standards as acceptable will not be a valid reason for rejection.  Masterframe adhere to the standards set by our Visual Standards Document which is available on request.

13.0 NON AVAILABILITY OF COMPONENTS:

13.1 If during the life of the guarantee components become unavailable we reserve the right to supply alternative components to replace those products under guarantee.

14.0 CHANGE OF DESIGN:

14.1 Our policy is one of continued development to its products, therefore we reserves the right to change product designs without notice, or withdraw certain options.  We endeavour to make you aware of any such changes.

15.0 REGULATIONS AND INDUSTRY STANDARDS:

15.1 It is your responsibility to inform us of any industry standard or building regulations that you require your order to comply with.

15.2 We shall not be held responsible for any loss or damage caused by the goods not conforming to relevant standards, nor under the Health and Safety at Work Act to a use of the goods by you or the user, which has not previously been notified in writing and approved by a Director of Masterframe Windows Limited.

16.0 RISK:

16.1 All risk in the goods will pass to the customer immediately on delivery of the goods or once deliveries have been deferred as in Clause 4.4, whilst ownership will remain ours until payment has been made as per 6.0; 6.1.

17.0 FORCE MAJEURE:

17.1 We shall not be held liable for any fault with the goods or any late delivery of the goods due to an act of God, war, strike, lockout, industrial action, fire, flood, snow or ice, drought, or any other event outside of our control.

18.0 GOVERNING LAW:

18.1 The above terms and conditions, and their interpretation will be governed by the laws of England and the English Courts.

19.0 SPECIAL TERMS & CONDITIONS:

19.1 Unless agreed between you and a Director of Masterframe Windows Limited and confirmed in writing by both parties the above terms and conditions of sale will solely apply.

19.2 By ordering our goods it is deemed that you have accepted the above terms and conditions.
